Terms & Conditions
Last Updated:
1. Agreement to These Terms
These Terms and Conditions govern your use of the Recta Space website and any services provided by Recta Space LLC, a Missouri limited liability company ("Recta Space", "we", "us"). By using our website, accepting a proposal, or paying an invoice, you agree to these terms. If a signed proposal or agreement with you says something different, that document takes priority for that engagement.
2. Our Services
Recta Space provides brand strategy, logo and identity design, UI/UX design, web development, digital marketing, ad creative, video and motion, AI-assisted content and related creative services. The exact deliverables for your project are those described in your proposal. Packages and prices shown on our website are starting points; final scope and pricing are confirmed in writing after your brand audit.
3. Proposals, Fees and Payment
All fees are quoted and invoiced in US dollars unless your proposal says otherwise. One-time projects require the deposit stated in your proposal before work begins, with the balance due on the schedule in that proposal. Invoices are payable within the period shown on the invoice. We may pause work on any project with an overdue balance until payment is received. Fees do not include taxes, third-party costs, stock assets, font licenses, software subscriptions or advertising spend unless stated.
4. Subscriptions and Retainers
Growth subscriptions are billed monthly in advance. The Baseline Retainer has a minimum term of three months, the Market Acceleration Retainer a minimum term of six months, and the Market Domination Retainer the term stated in your proposal, including any agreed percentage-of-ad-spend fee. After the minimum term, subscriptions continue month to month, and either party may cancel with 30 days' written notice. Unused deliverables do not roll over to the next month unless we agree in writing. Seasonal campaign work is included in the Market Acceleration and Market Domination Retainers as described in your proposal.
5. Client Responsibilities
You agree to provide accurate information, content, brand assets, account access and timely feedback needed to complete the work. You confirm that any materials you give us, such as logos, photos, text or product information, are yours to use or properly licensed, and that you are responsible for the accuracy of claims made in your marketing.
6. Revisions and Timelines
Each proposal states the number of revision rounds included. Additional revisions or changes in scope are billed at our current rates or quoted separately. Timelines depend on receiving your feedback and materials on schedule; delays on your side may move delivery dates.
7. Intellectual Property
When you have paid all fees for a project in full, ownership of the final approved deliverables transfers to you. Concepts, drafts and unused options remain the property of Recta Space. Third-party assets such as fonts, stock photography, music and software remain subject to their own licenses. Unless you ask us in writing not to, we may show completed work in our portfolio and marketing after it is publicly released.
8. AI-Generated Content
Some deliverables may be created or assisted by artificial intelligence tools, always under the direction of our designers. We deliver AI-assisted work with the commercial usage rights the underlying tools allow. Because the law on AI-generated content is still developing, we cannot guarantee that AI-generated elements are eligible for copyright or trademark registration, or that similar outputs will not be generated for others. We will not use AI to recreate the likeness of a real person without that person's consent.
9. Third-Party Platforms and Ad Spend
Social networks, ad platforms, hosting providers and other third-party services are governed by their own terms. Advertising budgets are paid by you directly to the platform and are not included in our fees. We do not guarantee specific results such as sales, rankings, followers or ad performance, and we are not responsible for platform outages, policy changes or account decisions made by those platforms.
10. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the purpose of the engagement. This does not apply to information that is already public, independently developed, or required to be disclosed by law.
11. Limitation of Liability
To the extent permitted by law, Recta Space is not liable for indirect, incidental or consequential losses, including lost profits or data. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the three months before the claim arose.
12. Termination
Either party may end a project by written notice if the other materially breaches these terms and does not fix the breach within 14 days. If a project ends early, you will pay for work completed up to the termination date, and deposits cover work already started and are non-refundable unless your proposal says otherwise.
13. Governing Law
These terms are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-law rules. Any dispute will first be discussed in good faith, and if unresolved, will be brought in the state or federal courts located in Missouri.
14. Changes and Contact
We may update these terms from time to time, and the date at the top of this page shows the latest version. Changes do not affect a signed proposal already in progress. Questions about these terms can be sent to mamun@rectaspace.com or by mail to Recta Space LLC, 117 S Lexington ST Ste 100, Harrisonville, MO 64701, United States.
